These Terms & Conditions ("Terms") govern your access to and use of the Wedding Venue Bookings website, applications, demo calls, communications, VenueFlow™ demonstrations and services.

Wedding Venue Bookings is a trading name of AG Digital Studio Ltd, a company registered in England and Wales ("Wedding Venue Bookings", "WVB", "we", "us" or "our").

By accessing our website, submitting an enquiry or application, booking a demo call, or otherwise using our services, you agree to these Terms where applicable.

Where separate consent is legally required for a particular communication, including certain automated or AI-generated voice calls, acceptance of these Terms does not by itself constitute that consent. Any such consent will be requested separately.

Wedding Venue Bookings provides marketing, lead-generation, appointment-booking, automation and related technology services primarily to wedding venues.

Our services may include our proprietary service methodology and system known as VenueFlow™.

2. Business-to-Business Services

Wedding Venue Bookings is primarily intended for wedding venues, venue operators and other businesses.

When submitting a business application or engaging our services on behalf of an organisation, you confirm that you are authorised to provide the relevant information and, where applicable, act on behalf of that organisation.

Unless expressly agreed otherwise, our commercial services are provided on a business-to-business basis.

3. Website Use

You may use our website for lawful purposes, including:

Learning about Wedding Venue Bookings;

Learning about VenueFlow™;

Submitting an application or enquiry;

Booking a demo;

Communicating with us; and

If you book a demo call, you agree to provide accurate contact and scheduling information.

Demo calls are intended to:

Understand your venue and current situation;

Discuss your enquiry and booking process;

Demonstrate VenueFlow™;

Explain our services;

Determine whether our services may be suitable; and

Discuss potential commercial arrangements.

Booking or attending a demo does not require you to purchase anything.

Likewise, providing a demonstration does not require us to accept you as a customer.

6. VenueFlow™

VenueFlow™ is the name used by Wedding Venue Bookings for our wedding-venue marketing, enquiry management, automation, qualification and appointment-booking system and associated methodology.

Depending on the service purchased, VenueFlow™ may incorporate technologies and services relating to:

Digital advertising;

Landing pages and funnels;

Lead generation;

Customer relationship management;

Automated follow-up;

Artificial intelligence;

AI-powered voice calls;

Lead qualification;

SMS and email communications;

Appointment scheduling;

Calendar integration;

Reporting; and

Related sales and marketing infrastructure.

The exact services provided to a paying customer will be determined by the applicable proposal, order form, statement of work or service agreement.

7. AI Voice Technology

Wedding Venue Bookings uses AI-powered voice technology in certain parts of its sales process, demonstrations and services.

This may include an AI-powered booking assistant capable of conducting telephone conversations, answering questions, gathering information, qualifying enquiries, checking appointment availability and scheduling appointments.

AI identification

Where you interact with one of our AI voice assistants, we intend for the assistant to identify the organisation it represents and make clear that you are interacting with an AI-powered voice assistant rather than a human representative.

You should not rely on an AI assistant for legal, financial, medical or other professional advice.

AI limitations

Artificial intelligence is probabilistic technology and may occasionally:

Misunderstand information;

Provide an inaccurate response;

Misinterpret an instruction;

Experience technical delays;

Fail to complete an action; or

Produce an unexpected response.

Important information should be independently confirmed where appropriate.

8. Consent to AI Voice Calls

Acceptance of these Terms, acknowledgement of our Privacy Policy, submission of an application, or provision of a telephone number does not by itself constitute consent to receive an AI-generated voice call where separate consent is required.

Before applicable outbound AI voice calls are initiated, users are provided with a separate, optional and unchecked consent mechanism.

The consent mechanism explains that Wedding Venue Bookings may contact the telephone number provided using automated technology and an AI-generated voice.

Only users who take the required affirmative action to provide consent are eligible to enter the applicable AI voice calling workflow.

Where required by applicable law, we may maintain records showing:

When consent was provided;

How it was provided;

The telephone number concerned;

The wording presented;

The source of the consent; and

Whether consent was subsequently withdrawn.

9. Withdrawing AI Call Consent

You may withdraw applicable consent to AI voice calls at any time.

During an AI call you may say:

"Don't contact me again."

"Stop calling me."

"Do not call me."

"Opt me out."

or use other language that clearly communicates that you do not want further calls.

Where such a request is received and identified, we will take reasonable steps to record the request and suppress the relevant telephone number from future applicable AI voice calls.

10. Geographic Telephone Routing

Wedding Venue Bookings maintains separate telephone infrastructure for the United Kingdom and United States.

Our AI voice workflows are intended to route calls according to the recipient's country.

Individuals in the United Kingdom are intended to receive outbound AI voice calls through our UK calling infrastructure.

Individuals in the United States are intended to receive outbound AI voice calls through our US calling infrastructure.

We do not intentionally initiate AI voice calls to UK recipients using our US number or to US recipients using our UK number.

Routing may be determined using information including the application submitted, country selected, telephone number and other information provided by the user.

11. SMS Communications

Where you provide a mobile telephone number and the appropriate basis exists for us to communicate with you by SMS, we may send messages relating to:

Your enquiry;

Customer service;

Appointment scheduling;

Appointment confirmations;

Appointment reminders;

Requested information; and

Existing services or communications.

Where separate consent is required for promotional SMS, we will seek that consent as required.

We use the VenueFlow™ name in connection with our system and services.

Use of the ™ symbol indicates that we claim the name as a trade mark/brand identifier. It does not necessarily mean that VenueFlow is a registered trade mark in any particular jurisdiction.

Nothing in these Terms grants you ownership of the VenueFlow™ name or associated branding.

17. Demonstrations and Example Results

Our website, VSL, sales materials and demonstrations may illustrate how VenueFlow™ is designed to operate.

Demonstrations may include:

Example enquiries;

Fictional venues;

Example conversations;

Illustrative booking journeys;

Simulated CRM information;

Example calendars;

Example performance scenarios; and

Other demonstrations of system functionality.

Unless expressly identified as an actual customer result, these examples should be understood as illustrative demonstrations rather than representations of historical customer performance.

18. No Guarantee of Results

Marketing and sales performance depends on numerous factors outside our control.

Location;

Pricing;

Reputation;

Availability;

Customer demand;

Advertising budget;

Competition;

Seasonality;

Offer;

Website experience;

Lead response;

Sales ability;

Customer behaviour; and

Market conditions.

Unless an explicit written guarantee forms part of a separate signed commercial agreement, we do not guarantee:

A particular number of enquiries;

A particular advertising cost;

A particular number of venue tours or showrounds;

A particular number of wedding bookings;

A particular conversion rate;

Revenue;

Profit; or

Return on advertising spend.

Statements concerning potential performance are estimates, illustrations or objectives rather than guarantees unless expressly agreed otherwise in writing.

19. Third-Party Platforms

Our services and demonstrations may rely on third-party platforms, including providers of:

Advertising;

CRM;

Artificial intelligence;

Voice generation;

Telephony;

SMS;

Email;

Calendar services;

Video conferencing;

Analytics; and

Website infrastructure.

We cannot guarantee uninterrupted availability of third-party platforms.

Features, pricing, policies and functionality of third-party services may change independently of Wedding Venue Bookings.

We are not responsible for outages or failures caused solely by third-party providers outside our reasonable control.

20. Purchasing Our Services

These website Terms do not necessarily constitute the complete commercial agreement governing paid VenueFlow™ services.

Where you purchase services from Wedding Venue Bookings, additional terms may be provided through:

A service agreement;

Proposal;

Order form;

Statement of work;

Invoice;

Payment terms; or

Other written agreement.

Those documents may specify matters such as:

Setup fees;

Monthly fees;

Advertising spend;

Minimum terms;

Cancellation;

Client responsibilities;

Deliverables;

Usage allowances;

Advertising account access;

Intellectual property;

If there is a conflict between these general website Terms and a separately agreed written service agreement, the specific service agreement will take precedence in relation to the paid services it governs.

21. Advertising Spend and Third-Party Charges

Unless expressly stated otherwise in a commercial agreement, advertising spend is separate from Wedding Venue Bookings' management or service fees.

Customers may be required to pay advertising platforms directly.

Other third-party costs may also apply depending on the service provided, including telephony, messaging, software or usage-based charges.

Any such allocation of costs will be explained in the applicable commercial agreement.

22. Availability and Changes

We may modify, suspend or discontinue parts of our website, demonstrations or services.

We may also update VenueFlow™ as technologies, advertising platforms, AI capabilities, regulations and business practices evolve.

We do not guarantee that every feature demonstrated will remain identical indefinitely.

For paying customers, material changes remain subject to any applicable service agreement.

23. Disclaimer

Our website and free demonstrations are provided on an "as available" basis.

To the maximum extent permitted by law, we do not warrant that:

The website will always be available;

The website will be completely error-free;

AI-generated responses will always be accurate;

Third-party platforms will always function;

Every prospect will respond;

Every qualified enquiry will book an appointment; or

Every appointment will result in a sale.

Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.

24. Limitation of Liability

To the maximum extent permitted by applicable law, AG Digital Studio Ltd will not be liable for indirect, incidental, special or consequential loss arising solely from your use of our website or free demonstrations.

Nothing in these Terms limits or excludes liability where doing so would be unlawful, including liability that cannot legally be excluded under applicable law.

Any additional liability limitations applicable to paid services may be set out in the relevant service agreement.

25. Indemnity

To the extent permitted by law, if you misuse our website or services in breach of these Terms and that misuse causes us reasonably foreseeable loss, liability or expense, you may be responsible for those losses.

This section does not create liability where doing so would be prohibited by applicable law.

26. Termination or Restriction of Access

Fraud;

Conduct that threatens our systems, staff, customers or service providers.

Termination of paid services is governed by the applicable commercial agreement.

28. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

29. No Waiver

If we do not immediately enforce a provision of these Terms, this does not mean that we waive our right to enforce it later.

30. Entire Agreement

For use of our website and free demonstrations, these Terms together with our Privacy Policy constitute the general terms governing your use.

For paying customers, these Terms may be supplemented or replaced in relevant respects by a specific service agreement, proposal, order form or other written agreement.

31. Governing Law

These Terms and any non-contractual disputes arising from them are governed by the laws of England and Wales, except where mandatory laws applicable to an individual in another jurisdiction provide otherwise.

Subject to any mandatory rights or jurisdictional rules that apply, the courts of England and Wales will have jurisdiction over disputes relating to these Terms.
